Delphin may suspend Services for materially overdue undisputed amounts after providing reasonable notice, subject to applicable law and contractual obligations.
9. Intellectual Property
Unless expressly agreed otherwise:
- Delphin retains ownership of its pre-existing methodologies, frameworks, templates, tools, processes, know-how, software, systems, designs, and other intellectual property.
- Clients retain ownership of materials supplied by them.
- Ownership or licensing of project-specific Deliverables shall be governed by the applicable engagement agreement.
- Third-party materials remain subject to their respective licenses and terms.
No rights in Delphin's trademarks, branding, methodologies, software, or proprietary materials are transferred merely by using the website or engaging Delphin.
10. Confidentiality
Each party may receive confidential information from the other in connection with an engagement.
Confidential information must be used only for legitimate purposes connected with the relationship and must not be disclosed to unauthorized persons.
